Terms of Service

1. Acceptance of Terms

By accessing or using MSPDock ("the Service"), you agree to be bound by these Terms of Service. The Service is operated by Tech Extranet LLC ("the Company"). If you do not agree to these terms, do not use the Service.

2. Description of Service

MSPDock is a software-as-a-service platform that provides managed service providers with tools for client reporting, quoting, invoicing, agreements, quarterly business reviews, and AI-powered alert triage. Features include AI narrative generation, e-signature capture, PSA integrations, and a branded client portal.

3. Account Registration

You must create an account with accurate and complete information to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that infringes on intellectual property rights
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt unauthorized automated access to the Service
• Resell or redistribute the Service without written permission
• Upload malicious files or code

5. Intellectual Property and Content Ownership

You retain all rights to the data you enter into MSPDock — client information, reports, quotes, invoices, agreements, and any other content. We do not claim ownership of your content and will not use it beyond providing the Service.

6. Subscriptions and Payment

• Subscriptions are billed monthly or annually, depending on the plan selected
• Upgrades take effect immediately with prorated billing
• Downgrades and cancellations take effect at the end of the current billing cycle
• Prices may change with 30 days' notice

7. Refund Policy

All purchases are eligible for a full refund within 14 days — no questions asked. This applies to subscription payments and any processing errors or duplicate charges. Contact billing@mspdock.com to request a refund. Refunds are processed within 5–10 business days.

8. Free Trial

New accounts receive a 14-day free trial with full access to the platform. No credit card is required. The Company reserves the right to modify the free trial terms at any time.

9. AI-Generated Content

MSPDock uses AI (Anthropic Claude) to generate report narratives, recommendations, QBR summaries, and email triage classifications. AI-generated content is provided as a starting point and should be reviewed before sharing with clients. We do not guarantee the accuracy or completeness of AI-generated content.

10. E-Signatures

MSPDock provides built-in e-signature functionality for quotes and agreements. E-signatures captured through the platform include the signer's name, IP address, user agent, timestamp, and document hash for audit purposes. You are responsible for ensuring e-signatures meet your jurisdiction's legal requirements.

11. Service Availability

The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We target 99.9% uptime but do not guarantee uninterrupted access. Enterprise SLA agreements are available separately.

12. Limitation of Liability

The Company's total liability is limited to the amounts you have paid for the Service in the preceding 12 months. We are not liable for any indirect, incidental, special, consequential, or punitive damages.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that AI-generated content will be error-free or that all profanity in email triage will be correctly classified.

14. Termination

The Company may suspend or terminate accounts that violate these terms. You may delete your account at any time. Upon termination, you may request export of your data within 30 days. Unused subscription balances are forfeited upon termination for cause.

15. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance.

16. Governing Law

These terms are governed by and construed in accordance with the laws of the United States.
